11. Orders and Order Acceptance

11.1

The display of Products on the Website constitutes an invitation to do business and does not constitute a binding offer by Odontologic.

11.2

An Order submitted by a Customer constitutes an offer to purchase the selected Products subject to these Terms.

11.3

An Order shall only become legally binding once Odontologic has:

• received successful payment, where applicable;
• verified any information reasonably required;
• confirmed Product availability; and
• issued an Order Confirmation to the Customer.

11.4

Odontologic reserves the right to refuse, reject or cancel any Order where:

• Products are unavailable;
• incorrect pricing has been published;
• fraud is suspected;
• payment cannot be verified;
• regulatory restrictions apply;
• verification requirements are not satisfied;
• delivery cannot reasonably be completed; or
• the Order would breach applicable law.

11.5

Where an Order is cancelled by Odontologic before dispatch, any payment received shall be refunded in accordance with the Payment Policy.

11.6

Odontologic may contact Customers to verify identity, delivery details or payment information before accepting an Order.

12. Special Orders and Backorders

12.1

Certain Products may be imported or specially procured upon request.

12.2

Special-order Products may require:

• supplier confirmation;
• advance payment;
• extended lead times; and
• minimum order quantities.

12.3

Unless otherwise required by law, special-order Products cannot be cancelled after Odontologic has placed the corresponding order with its supplier.

12.4

Where a Product becomes temporarily unavailable after an Order is accepted, Odontologic may:

• place the item on backorder;
• offer an alternative Product;
• partially fulfil the Order; or
• refund the unavailable Product.

12.5

Estimated lead times are provided for guidance only and do not constitute guaranteed delivery dates.

13. Payment

13.1

All payments made through the Website are processed securely using Stitch or any successor payment provider designated by Odontologic.

13.2

Odontologic does not collect or store Customers’ complete payment card details.

13.3

Accepted payment methods may include:

• Visa;
• Mastercard;
• Instant EFT;
• bank transfer, where approved; and
• other payment methods supported by Stitch.

13.4

Payment authorisation does not constitute acceptance of an Order.

13.5

Odontologic reserves the right to delay shipment until payment has cleared in full.

13.6

Ownership of Products shall remain with Odontologic until payment has been received in full.

13.7

Where fraudulent payment activity is suspected, Odontologic may:

• suspend the transaction;
• request additional verification;
• notify financial institutions; and
• report suspected fraud to the appropriate authorities.

14. Promotions, Discounts and Vouchers

14.1

From time to time Odontologic may offer promotional pricing, discount codes or voucher campaigns.

14.2

Unless expressly stated otherwise:

• promotions cannot be combined;
• vouchers are not redeemable for cash;
• vouchers are non-transferable; and
• expired vouchers cannot be reinstated.

14.3

Odontologic reserves the right to withdraw or amend promotions at any time, provided that such withdrawal shall not affect Orders already accepted.

14.4

Where a promotion has been applied in error due to a system malfunction or obvious pricing mistake, Odontologic reserves the right to cancel the affected transaction.

14.5

Promotional Products remain subject to stock availability.

15. Delivery

15.1

Odontologic currently delivers Products within the Republic of South Africa only.

15.2

Deliveries are facilitated through Bob Go, which coordinates fulfilment using its network of approved courier partners.

15.3

Delivery times displayed on the Website are estimates only and are not guaranteed.

15.4

Delivery delays may arise due to:

• supplier delays;
• courier disruptions;
• severe weather;
• strikes;
• customs processes, where imported stock is involved; and
• force majeure events.

15.5

The Customer shall ensure that:

• the delivery address is accurate;
• authorised personnel are available to receive delivery; and
• any special delivery instructions are provided before dispatch.

15.6

Additional delivery charges may apply where:

• incorrect addresses are supplied;
• delivery attempts fail;
• remote areas require surcharge fees; or
• re-delivery becomes necessary.

15.7

Risk passes to the Customer upon successful delivery in accordance with Section 16.

16. Risk and Transfer of Ownership

16.1

Ownership of Products shall remain vested in Odontologic until payment has been received in full.

16.2

Risk of accidental loss or damage shall pass to the Customer upon delivery to:

• the Customer;
• the Customer’s authorised representative; or
• any person reasonably appearing to accept delivery on behalf of the Customer.

16.3

Customers should inspect all deliveries promptly upon receipt.

16.4

Visible shortages, incorrect Products or obvious transport damage should be reported within forty-eight (48) hours of delivery.

16.5

Failure to inspect Products promptly shall not prejudice any statutory rights under the Consumer Protection Act.

17. Returns and Refunds

17.1

Returns are governed by the Odontologic Returns & Refund Policy, which forms part of these Terms.

17.2

Nothing contained in these Terms limits any statutory rights afforded to Consumers under the Consumer Protection Act.

17.3

Returns may be accepted where:

• Products are defective;
• Products were supplied incorrectly;
• Products were damaged during delivery; or
• Products qualify for return under applicable law.

17.4

Products may not be eligible for return where:

• they have been opened or used;
• sterility has been compromised;
• they were specially imported;
• they were manufactured to customer specification; or
• they are non-returnable for hygiene or safety reasons, unless defective.

17.5

Refunds shall be processed using the original payment method unless otherwise required by law.

18. Defective Products

18.1

Where a Product is defective, Customers shall notify Odontologic as soon as reasonably possible.

18.2

Odontologic may require:

• photographs;
• batch numbers;
• serial numbers;
• manufacturer labels; and
• proof of purchase.

18.3

Where necessary, Products may be returned for inspection before replacement or refund.

18.4

Nothing in these Terms excludes any statutory warranty provided under the Consumer Protection Act.

19. Manufacturer Warranties

19.1

Certain Products are supplied with manufacturer warranties.

19.2

Manufacturer warranties remain subject to the manufacturer’s own terms and conditions.

19.3

Warranty claims may require inspection by either:

• Odontologic;
• the manufacturer; or
• an authorised service centre.

19.4

Manufacturer warranties generally do not cover:

• misuse;
• accidental damage;
• unauthorised modification;
• incorrect installation;
• failure to follow manufacturer instructions; or
• normal wear and tear.

19.5

Odontologic will use reasonable efforts to assist Customers in processing warranty claims but does not guarantee that manufacturers will approve every claim.

20. Customer Responsibilities

20.1

Customers undertake to:

• provide accurate information;
• maintain current contact details;
• ensure delivery information is correct;
• comply with all applicable laws; and
• use Products only for their intended purpose.

20.2

Customers purchasing regulated dental Products warrant that they possess any licences, registrations or professional qualifications required by applicable law.

20.3

Customers are responsible for ensuring that Products are suitable for their intended clinical or laboratory application.

20.4

Odontologic shall not be responsible for losses arising from:

• incorrect Product selection by the Customer;
• improper storage;
• misuse;
• unauthorised alteration; or
• failure to follow manufacturer instructions.

20.5

Customers agree not to misuse the Website or interfere with its operation.
